Introduction
Public companies and other institutions have been on the spot for using unscrupulous accounting and financial systems to attract investors. Manipulation of financial systems to attract investors is unacceptable and unethical and it is for this reason that relevant institutions and governments have come up with several regulatory laws to control the same. The famous Sarbanes Oxley is one of the regulatory laws that seek to monitor the accounting activities of companies.

The author’s main argument is on the significance of ethics in corporate governance. He argues that the ethics in corporate governance is a great determinant in shaping the market structure as well as the patterns in market failure.
